Section 259 CAMA 2020

Section 259 Companies and Allied Matters Act is about Written resolutions. It is under Chapter 10 (Meetings and Proceedings of Companies) of the Act.

All resolutions shall be passed at general meetings and are not effective unless so passed, but in the case of a private company a written resolution signed by all the members entitled to attend and vote are as valid and effective as if passed in a general meeting.
