Section 284 CAMA 2020

Section 284 Companies and Allied Matters Act is about Vacation of office director. It is under Chapter 11 (Directors) of the Act.

(1) The office of director shall be vacated if the director—

(a) ceases to be a director by virtue of section 277 of this Act ;

(b) becomes bankrupt or makes any arrangement or composition with his creditors ;

(c) becomes prohibited from being a director by reason of any order made under sections 280-281 of this Act ;

(d) becomes of unsound mind ; or

(e) resigns his office by notice in writing to the company.

(2) Where a director presents himself for re-election, a record of his attendance at the meetings of the board during the preceding one year shall be made available to members at the general meeting where he is tobe re-elected.
